Technical Assistance & Compliance Services for Public Housing Certification

This Consulting Agreement ("Agreement") is entered into as of October 15, 2025, by ______________________   and between

Client: Housing Authority of the City of Greenville at 1103 Broad Street, Greenville, NC 27834 and Consultant:

1. Scope of Services

Consultant shall provide technical assistance and compliance services to the Housing Authority, which will be limited to:

- Annual Certifications

- Providing recommendations to ensure adherence to federal, state, and local housing regulations;

- Training staff on how to conduct Annual Certifications

- Preparing reports and documentation as requested.

 

A detailed description of specific deliverables, milestones, and timelines is:

PHAs - Reexams: Reconciliation will be completed by January 31, 2026. Additional technical assistance may be required as needed.

2. Term

This Agreement shall commence on October 15, 2025, and continue until January 31, 2026, unless terminated earlier as provided herein.

3. Compensation

The Client shall pay the Consultant $25.00 per hour for no more than twenty (20) hours per week, not to exceed a total of two hundred eighty(280) hours from October 15, 2025, through January 31, 2026. The Consultant shall submit an invoice monthly, and the Client shall pay all undisputed amounts within 14 days of receipt. 

4. Independent Contractor

Consultant is an independent contractor, not an employee, agent, or representative of the Housing Authority. Consultant shall be responsible for all taxes, insurance, and benefits relating to its personnel.

5. Confidentiality

Consultant agrees to maintain the confidentiality of any proprietary or sensitive information received from the Housing Authority and not to disclose such information to third parties without written consent.

6. Compliance with Laws

Consultant shall comply with all applicable federal, state, and local laws, including but not limited to U.S. Department of Housing and Urban Development (HUD) regulations relevant to the services.

7. Termination

Either party may terminate this Agreement upon fifteen (15) days' written notice. In the event of termination, Consultant shall be paid for all services performed and approved expenses incurred through the effective termination date.

8. Indemnification

Consultant shall indemnify and hold harmless the Housing Authority and its officers, employees, and agents from and against any claims, damages, or liabilities arising from Consultant's negligence or willful misconduct.

9. Insurance

Consultant shall maintain at its own expense adequate professional liability insurance and provide proof of coverage upon request.

10. Ownership of Work Product

All reports, analyses, and materials produced specifically for the Housing Authority of the City of Greenville, NC under this Agreement shall be the sole property of the Housing Authority of the City of Greenville, NC.

 

11. Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes all prior discussions or agreements. Any modifications must be in writing and signed by both parties.

 

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina.

13. Compliance with North Carolina Housing Laws

Consultant shall comply with all applicable federal, state, and local laws, rules, and regulations governing public housing and housing assistance programs in North Carolina, including but not limited to:

- North Carolina General Statutes, Chapter 157 - governing housing authorities and their powers and duties;

- North Carolina Fair Housing Act (N.C. Gen. Stat. §41A) - prohibiting discrimination in housing;

- Any applicable local ordinances or regulations enacted by the Housing Authority's jurisdiction; and

- All relevant U.S. Department of Housing and Urban Development (HUD) regulations, guidance, and program requirements.

Consultant agrees to stay current with any amendments to these laws and to perform services in a manner consistent with all such requirements.

Consultant shall promptly notify the Housing Authority of any known or potential noncompliance related to Consultant's services.
